Terms of Use

"Syndicate 11" refers to Syndicate 11 and its affiliates. "Site" means syndicate11.co. "Members App" means app.syndicate11.co. "Services" collectively refers to the Site, Members App, events, community, communications, and any related programming operated by Syndicate 11.

You must be at least 18 years old to use the Services. Membership is by application and interview only and is granted at Syndicate 11's sole discretion. Membership is personal to you and non-transferable.

You agree that information you submit as part of your application is accurate, complete, and represents you truthfully.

Syndicate 11 may accept, decline, revoke, or suspend membership at any time, with or without cause, including for violations of these Terms or our Community Guidelines.

By using the Services or attending our events, you agree to:

• Treat other members, guests, staff, and partners with respect.
• Respect the privacy and confidentiality of members and event details. Do not photograph, film, record, or publicly identify other members without their consent.
• Not harass, discriminate against, threaten, or harm any individual on the basis of race, ethnicity, gender, sexual orientation, religion, disability, or any other characteristic protected by law.
• Not solicit, spam, scrape, or use the network for unrelated or unauthorized commercial purposes.
• Follow the reasonable directions of Syndicate 11 hosts and event staff.

Violations may result in a warning, removal from an event, suspension, or termination of membership without refund.

Syndicate 11 is a private community. You agree not to publicly disclose the identities of other members, the contents of private discussions, private contact information, event locations not intended for public distribution, or the substance of member-only programming, except with the express permission of the individuals involved or as required by law.

Attendance at Syndicate 11 events is voluntary and at your own risk. You are responsible for your own conduct, belongings, transportation, and consumption of food or alcohol.

Syndicate 11 may take photographs, video, or audio at events for private community use and, in select cases, promotional use. Please see our Privacy Policy for additional information and available choices.

Additional event-specific terms, releases, venue rules, or partner requirements may apply to particular events. Where provided, you agree to comply with them.

Where membership fees, event fees, or other charges apply, they will be described at the point of purchase.

All fees are non-refundable except as required by law or as expressly stated at the point of purchase. Third-party payment processors may process payments, and you are responsible for the accuracy of the information you provide to them.

If you submit content to Syndicate 11, including application materials, messages, profile information, photographs, video, or other materials, you retain ownership of your content.

You grant Syndicate 11 a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, and use that content solely as reasonably necessary to operate, secure, improve, and promote the Services and to communicate with you.

Any materially broader commercial use of your name, likeness, voice, or content in a paid third-party brand campaign will be subject to the applicable written agreement, release, event terms, or other authorization.

You represent that you have all rights necessary to submit the content and grant the permissions described above. Do not submit content you do not have the right to share.

The Site, Members App, Syndicate 11 name, logo, marks, illustrations, designs, text, photographs, software, and other content supplied by Syndicate 11 are owned by or licensed to Syndicate 11 and are protected by intellectual-property laws.

You may not copy, distribute, modify, publicly display, sell, license, or create derivative works from our content without our prior written consent, except as permitted by applicable law.

The Services may reference, integrate with, or link to third-party websites, platforms, products, services, venues, brands, or content.

We do not control and are not responsible for third parties, and their inclusion does not imply an endorsement or guarantee. Your interactions with third parties may be governed by their own terms and privacy policies.

The Services are provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, Syndicate 11 disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee:

• That the Services will be uninterrupted, secure, or error-free.
• Any particular membership decision.
• Any specific introduction, opportunity, collaboration, income, commercial result, attendance outcome, or professional benefit.
• The conduct, reliability, suitability, or performance of any member, partner, brand, venue, or other third party.

To the fullest extent permitted by law, Syndicate 11 and its affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, business opportunities, or goodwill, arising out of or relating to your use of the Services.

To the fullest extent permitted by law, Syndicate 11's total aggregate liability for claims arising out of or relating to the Services will not exceed the greater of (a) the amount you paid directly to Syndicate 11 during the twelve months preceding the event giving rise to the claim, or (b) US $100.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Syndicate 11, its affiliates, and their respective officers, directors, employees, contractors, and agents from claims, losses, liabilities, damages, judgments, expenses, and costs, including reasonable attorneys' fees, arising from:

• Your use or misuse of the Services.
• Content you submit.
• Your violation of these Terms.
• Your violation of applicable law or another person's rights.

You may stop using the Services at any time.

Syndicate 11 may suspend or terminate your access to the Services, membership, or event participation at any time, with or without notice, including where we reasonably believe you have violated these Terms, harmed another person, created risk for the community, or misused the Services.

Sections that by their nature should survive termination, including confidentiality, intellectual property, disclaimers, limitation of liability, indemnification, and governing law, will survive.

If you believe content available through the Services infringes your copyright, please send a notice containing the information required by 17 U.S.C. § 512(c)(3) to membership@syndicate11.co.

A valid notice should identify the copyrighted work, identify the allegedly infringing material and its location, provide your contact information, contain the required good-faith and accuracy statements, and include your physical or electronic signature.

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules.

You and Syndicate 11 agree that the state and federal courts located in New York County, New York will have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Services, and each party consents to personal jurisdiction and venue in those courts.

If you provide your mobile phone number and expressly opt in, you agree to receive SMS messages from Syndicate 11.

Messages may include:

• Event invitations.
• RSVP confirmations.
• Waitlist notifications.
• Event reminders.
• Membership updates.
• Account notifications.

Message frequency varies. Message and data rates may apply.

Consent to receive SMS messages is not a condition of purchasing any goods or services.

You may opt out at any time by replying STOP to a Syndicate 11 message. You may receive one final message confirming that your opt-out request has been processed.

You are responsible for ensuring that the mobile phone number you provide is accurate and that you are authorized to receive messages at that number. If your number changes or is reassigned, you agree to update your information.

Mobile carriers are not responsible for delayed or undelivered messages.

Participation in the SMS messaging program is also governed by our SMS Messaging Terms and our Privacy Policy.

We may update these Terms from time to time.

Material changes will be noted on this page together with an updated "Last updated" date. Where required by law, we may provide additional notice.

Continued use of the Services after updated Terms take effect constitutes acceptance of the revised Terms.
